CheckTransfer Tech B.V. – TruthLayer® Software

1. Identity of the Provider

TruthLayer® is proprietary transfer verification software developed, owned and operated by:

CheckTransfer Tech B.V. (“CheckTransfer Tech”, “we”, “us”, “our”) is a software development company and independent SaaS provider.

CheckTransfer Tech B.V.:

• is not an Online Travel Agency (OTA)
• is not a transport operator
• is not a broker
• is not a booking platform
• does not sell transportation services
• does not act as principal or agent in any transport agreement

TruthLayer® functions exclusively as an independent digital verification and evidence layer between:

• OTA or booking platform
• End customer (passenger)
• Transport provider (driver/company)

2. Nature of the Service

TruthLayer® is an independent software environment designed to:

• Register and timestamp operational transfer events
• Log booking data as received from contracting parties
• Record driver actions and passenger confirmations
• Preserve digital workflow evidence
• Create an objective, neutral data trail

TruthLayer® does not:

• modify commercial agreements
• determine pricing
• control booking terms
• decide disputes
• guarantee service execution

The software strictly records and preserves factual workflow data as submitted or generated within the system.

TruthLayer® operates as a neutral technological infrastructure layer, not as a participant in the transport contract.

3. Contractual Relationships

Any transport agreement exists exclusively between:

• The OTA or booking entity, and
• The passenger, and/or
• The transport provider.

CheckTransfer Tech B.V. is not a party to these agreements.

Use of TruthLayer® does not create:

• a partnership
• a joint venture
• an agency relationship
• a commercial intermediary role

between CheckTransfer Tech B.V. and any user of the system.

4. Software License

Access to TruthLayer® is granted under a limited, non-exclusive, non-transferable, revocable license.

Users may not:

• Copy, reproduce, or redistribute the software
• Reverse engineer, decompile, or disassemble the software
• Use the software outside its intended operational scope
• Mirror or host the system elsewhere
• Remove intellectual property markings

All intellectual property rights remain exclusively with CheckTransfer Tech B.V.

5. User Accounts

Users accessing TruthLayer® (including drivers, OTA partners, administrators) are responsible for:

• Maintaining confidentiality of login credentials
• All actions performed under their account
• Ensuring submitted data is accurate and lawful

Users are strictly prohibited from:

• Uploading fraudulent information
• Manipulating timestamps
• Attempting to interfere with system integrity

6. Independent Verification Position

TruthLayer® operates as an independent digital verification layer.

The system:

• Logs submitted data
• Registers time-based events
• Creates immutable workflow references

TruthLayer® does not interpret legal responsibility and does not adjudicate disputes.

Any dispute between OTA, passenger, or transport provider must be resolved between those parties.

TruthLayer® may provide factual technical logs if legally required.

7. Data Processing & Neutrality

CheckTransfer Tech B.V. processes data strictly:

• As a technical service provider
• In accordance with applicable data protection regulations
• Without commercial interest in the outcome of any transfer

CheckTransfer Tech B.V. has no financial stake in:

• Whether a transfer is completed
• Whether a booking is cancelled
• Whether a dispute arises

Its role is strictly technological and evidentiary.

8. Limitation of Liability

To the maximum extent permitted by law:

CheckTransfer Tech B.V. shall not be liable for:

• Transport service failures
• Passenger no-shows
• Driver non-performance
• Commercial losses
• Indirect or consequential damages
• Revenue loss
• Disputes between contractual parties

Liability, if any, is strictly limited to the fees paid for use of the software in the relevant billing period.

9. No Warranty

TruthLayer® is provided on an:

• “AS IS”
• “AS AVAILABLE”

basis.

CheckTransfer Tech B.V. makes no warranties regarding:

• Commercial outcomes
• Legal enforceability of third-party contracts
• Service execution by transport providers
• Passenger behavior

10. Suspension & Termination

CheckTransfer Tech B.V. may suspend or terminate access to the software if:

• Terms are breached
• Fraudulent activity is detected
• System integrity is threatened

Termination does not affect contractual obligations between OTA, passenger, and transport provider.

11. Modifications

CheckTransfer Tech B.V. reserves the right to update these Terms.

Material changes will be communicated appropriately.

Continued use of TruthLayer® constitutes acceptance of updated terms.
